Terms of Service

Please read this agreement carefully before using this service. By using the service or clicking "agree" the customer is agreeing to be bound by this agreement. If the customer is agreeing on behalf of an employer, they represent that they have the necessary authority to do so. This agreement is between Idealist Software, LLC (Invoice Generator) and the customer agreeing to these terms (Customer).

1. Software-as-a-Service

This agreement provides Customer access to and usage of an Internet based software service as specified on an order and as further outlined at invoice-generator.com (Service).

2. Use of Service

Customer Owned Data. All data and logos uploaded by Customer remain the property of Customer. Customer grants Invoice Generator the right to use, publicly display and distribute the Customer Data for purposes of performing under this agreement.

Customer Responsibilities. Customer must keep passwords secure, is solely responsible for Customer Data and all activity in its account, must use reasonable efforts to prevent unauthorized access, and may use the Service only in accordance with applicable law.

API. Invoice Generator grants Customer a non-exclusive, nontransferable, terminable license to interact with the API only for purposes of the Service. The API is provided on an "AS IS" and "WHEN AVAILABLE" basis.

30-Day Trial. If Customer registered for a trial, Customer may access the Service for a 30-day period. All Customer data will be deleted after the trial period unless the account is converted to a paid Service.

3. Disclaimer

Invoice Generator disclaims all warranties, including the implied warranties of merchantability, title and fitness for a particular purpose. The Service may not be error free, and use may be interrupted.

4. Payment

Customer must pay all fees as specified on the order, or otherwise within 30 days of receipt of an invoice. Customer is responsible for the payment of all applicable taxes.

5. Mutual Confidentiality

Each party must protect the other's Confidential Information with at least reasonable care and not use or disclose it outside the scope of this agreement, subject to standard exclusions for information that is public, already known, received from a third party, or independently developed.

6. Proprietary Property

The software, workflow processes, user interface, designs, and other technologies provided as part of the Service are the proprietary property of Invoice Generator and its licensors. Customer may not resell the Service, transmit unlawful material, interfere with the Service, reverse engineer it, or use it to build a competitive product.

7. Term and Termination

This agreement continues until all orders have terminated. Either party may terminate for an uncured material breach after a 14-day notice period. Invoice Generator may suspend the Service for non-payment more than 15 days past due. Customer Data will be available within 90 days after termination, after which Invoice Generator may destroy it.

8. Liability Limit

To the maximum extent allowed by law, Invoice Generator is not liable for indirect, special, incidental or consequential damages, and its total liability does not exceed the amount paid by Customer within the 6-month period prior to the event giving rise to the liability.

9. Indemnity

Customer must defend, indemnify and hold Invoice Generator harmless from third-party claims related to Customer's acts, omissions, data or information within the Software.

10. Governing Law and Forum

This agreement is governed by the laws of the State of Texas. Any suit must be brought exclusively in the federal or state courts for Travis County, Texas.

11. Other Terms

This agreement and the order constitute the entire agreement between the parties. Neither party may assign the agreement except as part of a merger or sale of substantially all assets. The parties are independent contractors. If any term is unenforceable, the remaining terms remain in effect.
